1. Company Structure & Ownership
Ownership Disclosure
Club Ceo's is a product and sub-brand of 4 Hand Studio Pvt. Ltd. All software solutions, services, and intellectual properties provided under the Club Ceo's trademark are owned and operated exclusively by 4 Hand Studio Pvt. Ltd.
2. Acceptable Use
By accessing or using the Club Ceo’s platform, APIs, or white-labeled products, you agree to comply with these terms. You are responsible for ensuring that all users of your white-labeled instance also comply with these standards.
Prohibited uses include unauthorized reverse engineering, high-frequency scraping of the API, or using the platform for any illegal activities in your jurisdiction.
3. License & IP Rights
Club Ceo’s grants you a non-exclusive, non-transferable license to rebrand and resell our software as per your subscription tier. This is a license to use, not a sale of intellectual property.
4. White Label Confidentiality
Intellectual Property Note
The core engine, source code, and logic remain the exclusive property of 4 Hand Studio Pvt. Ltd. (operating as Club Ceo's). Your branding (logo, name, UI theme) remains your exclusive property.
4. API Service Levels
We provide API access with a target uptime of 99.9%. Service Level Agreements (SLAs) are tier-dependent. We reserve the right to throttle API requests if they exceed the rate limits specified in your plan to protect platform stability.
5. Reseller Obligations
As a reseller, you are solely responsible for:
- Managing your own end-user support (Level 1 and 2).
- Collecting payments from your customers.
- Setting your own end-user Terms of Service and Privacy Policy.
- Maintaining valid contact information for technical alerts.
6. Termination
We may terminate or suspend your account immediately, without prior notice or liability, if you breach the Terms. Upon termination, your right to use the Service will cease immediately.
In the event of termination, we will provide a grace period for you to export your data and your end-user records from the system.
7. Limitation of Liability
Club Ceo’s shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.
Furthermore, Club Ceo's is explicitly not responsible for data loss or leaks occurring through third-party partners, external applications, or integrated software not owned directly by Club Ceo's or 4 Hand Studio Pvt. Ltd.
